Descripción SARS-CoV-2 and its variations significantly have stimulated changes to legislation that regulates mergers and acquisitions processes in the United Kingdom (UK). This paper analyzes the legal aspects of material adverse change (MAC) as well as its use in mergers and acquisitions and new legislation created to withstand any inimical effects of the pandemic in corporate restructuring operations in the UK. Additionally, this paper addresses the possibility of developing a new legal framework that regulates the processes of mergers and acquisitions in Panama. It examines the current legal framework that regulates the topic of ESG criteria in the commercial context in the UK and Panama. Lastly the article exposes the need for Panama to emulate the vision and progressive legal actions of the UK. Finally it concludes with the importance of ESG due diligence and compliance by the target company. These ESG criteria are central elements for creating value in mergers and acquisitions processes.
Descripción El SARS-CoV-2 y sus variaciones han estimulado significativamente cambios en la legislación que regula los procesos de fusiones y adquisiciones en el Reino Unido (UK). Este artículo analiza los aspectos legales del cambio adverso material (MAC), así como su uso en fusiones y adquisiciones y la nueva legislación creada para resistir cualquier efecto adverso de la pandemia en las operaciones de reestructuración corporativa en el Reino Unido. Adicionalmente, este artículo aborda la posibilidad de desarrollar un nuevo marco legal que regule los procesos de fusiones y adquisiciones en Panamá. Examina el marco legal actual que regula el tema de los criterios ESG en el contexto comercial en el Reino Unido y Panamá. Por último, el artículo expone la necesidad de que Panamá emule la visión y las acciones legales progresistas del Reino Unido. Finalmente, concluye con la importancia de la debida diligencia ESG y el cumplimiento por parte de la empresa objetivo. Estos criterios ESG son elementos centrales para la creación de valor en los procesos de fusiones y adquisiciones.
